Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and AH Solutions L.L.C-FZ, a free-zone company registered in the Emirate of Dubai, United Arab Emirates, with its registered office at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, UAE ("SignalProof", "we", "us", or "our"). They govern your access to and use of signal-proof.com, app.signal-proof.com, and the SignalProof application and related services (together, the "Service"). By creating an account, starting a trial, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly of any unauthorised use.

2. Description of the Service

SignalProof tracks trading signals posted in the Telegram channels you connect, verifies their performance against live and historical market data, and produces verified public performance pages and marketing content. The Service is a performance-verification and marketing tool for signal operators. It does not execute trades, manage funds, provide brokerage services, or give financial, investment, or trading advice. The Service is delivered digitally over the internet: once your free trial or paid subscription begins, access is provided immediately through your online account, and no physical product is shipped.

3. Connected channels and your content

When you connect a Telegram channel, you confirm that you own or control that channel, or are otherwise authorised to submit its content to the Service. You retain ownership of the content you submit ("Your Content"). You grant us a worldwide, non-exclusive licence to host, process, analyse, and display Your Content solely to operate and provide the Service to you, including generating your public proof pages and marketing assets. You are responsible for Your Content and for complying with Telegram's terms and applicable law.

4. Subscriptions, free trial, and automatic renewal

Paid plans are billed on a recurring subscription basis (monthly or annually) at the prices shown at checkout, exclusive of any applicable taxes. Prices are stated and charged in euro (EUR) unless a different currency is shown to you at checkout. New subscriptions may include a 14-day free trial, which requires a valid payment method up front. Unless you cancel before the trial ends, your plan automatically converts to a paid subscription and your payment method is charged. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled.

Payments are processed by Stripe, our third-party payment processor. By subscribing, you authorise us, through Stripe, to charge your payment method for the recurring fees and any applicable taxes. Your payment is also subject to Stripe's own terms. We do not store full payment-card numbers on our servers; card data is handled by Stripe. Charges will appear on your bank or card statement under a "SignalProof" or "AH Solutions" billing descriptor.

5. Cancellation and refunds

You can cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you keep access until then, and you will not be charged for the following period. Cancelling during the free trial prevents any charge.

Except where required by applicable law, all fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or features not used. If you believe you were charged in error, email us at support@signal-proof.com and we will review it in good faith. Nothing in these Terms limits any non-waivable refund, cancellation, or withdrawal rights you may have under the mandatory consumer-protection laws of your country of residence.

6. Price and plan changes

We may change our prices or the features included in a plan. If we change the recurring price of your subscription, we will give you reasonable advance notice, and the new price will apply from your next renewal. If you do not agree to a price change, you may cancel before it takes effect.

7. Acceptable use

You agree not to:

• access the Service in unauthorised ways, or probe, scan, or test its security or interfere with its operation;
• misrepresent, fabricate, or manipulate verified results, or present them in a false or misleading way;
• connect channels you do not own, control, or have the right to use;
• use the Service to solicit funds, operate a managed-account or pooled-investment scheme, or otherwise provide regulated financial services in breach of applicable law;
• use the Service for unlawful, fraudulent, deceptive, or abusive purposes, or to infringe the rights of others.

You are solely responsible for how you market your channels and for compliance with the advertising, financial-promotion, and consumer-protection rules that apply to you.

8. Intellectual property

The Service, including its software, design, verification methodology, and the "SignalProof" name and logo, is owned by us and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, resell, reverse-engineer, or create derivative works from the Service except as permitted by law. The "Verified by SignalProof" badge and verified pages may be used only for genuine, unmodified results generated by the Service.

9. Third-party services

The Service relies on third parties, including Telegram (Bot API, used to read messages from channels you connect), Stripe (our payment processor for payments and subscription billing), market-data providers, and hosting and infrastructure providers. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

10. Financial disclaimer

SignalProof is not a broker, dealer, investment adviser, or financial institution, and nothing on the Service is financial, investment, legal, or tax advice or a recommendation to buy, sell, or hold any instrument. Verified statistics describe historical performance only. Past performance does not guarantee future results. Trading foreign exchange, derivatives, and other leveraged instruments carries a high level of risk and can result in the loss of all of your capital. You are solely responsible for your own trading decisions and should seek independent professional advice where appropriate.

11. Disclaimers of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that verification results will be complete or free of inaccuracies arising from third-party data.

12. Limitation of liability

To the maximum extent permitted by law, SignalProof and its providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, data, or trading losses, arising out of or relating to your use of the Service. Our total aggregate liability for any claim will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) USD 100.

13. Indemnification

You agree to indemnify and hold harmless SignalProof and its officers, employees, and providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your marketing, or your breach of these Terms or of applicable law.

14. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if your use could cause harm or legal liability to us or others. Upon termination, your right to use the Service ceases; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.

15. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws rules. You and SignalProof submit to the exclusive jurisdiction of the courts of Dubai, UAE, for any dispute arising out of or relating to these Terms or the Service, without prejudice to any mandatory consumer-protection rights available to you in your country of residence.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. Neither party is liable for delays or failures caused by events beyond its reasonable control.
